Please read these Terms of Service (the Terms) carefully. They govern your access to and use of the website and services at www.nftm.app and related interfaces (collectively, the Services), operated by [Operator legal name] (NFTm, we, us, or our).

By connecting a wallet, browsing, minting, listing, buying, selling, commenting, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.


1. What NFTm is

NFTm is a Solana NFT marketplace and launchpad built around collection stores. The Services help users:

  • Discover, buy, sell, and make offers on NFTs in a secondary market;
  • Launch new collections through a self-serve launchpad (primary mints);
  • Customize collection storefronts, About pages, and community features such as comments and favorites.

NFTm is not a bank, broker, dealer, exchange, custodian, escrow agent, money transmitter, or investment adviser. We do not provide financial, legal, or tax advice.


2. Eligibility

You may use the Services only if you:

  • Are at least 18 years old (or the age of majority where you live, if higher);
  • Have the legal capacity to enter a binding contract;
  • Are not barred from using the Services under applicable law; and
  • Will comply with these Terms and all applicable laws.

You are responsible for determining whether your use of NFTs, digital assets, or the Services is lawful in your jurisdiction. If trading or holding NFTs is illegal where you live, you must not use the Services.

We do not knowingly collect personal information from anyone under 13. If we learn that a user is under 13, we may delete associated data and terminate access.


3. Non-custodial wallets and blockchain transactions

NFTm is a non-custodial interface. We do not take custody or possession of your NFTs, SOL, or other digital assets, and we do not control your wallet.

Transactions are executed on the Solana blockchain (and related programs such as Metaplex Candy Machine, Auction House, or Metaplex Core) through instructions you review and approve in your own wallet. We cannot reverse, cancel, or modify an on-chain transaction after it is confirmed.

You alone control your wallet and private keys. Loss of keys, phishing, malware, or user error may result in permanent loss of assets. NFTm is not responsible for wallet security or for transactions you approve.

For secondary sales, NFTm generally uses an escrowless listing model: NFTs typically remain in the seller's wallet until a sale completes, subject to the on-chain rules of the listing program used for that asset.

For primary mints through the launchpad, mint payments are directed on-chain to the creator wallet designated at launch. NFTm does not custody mint proceeds.


4. Accounts and identity

NFTm identifies you by your connected wallet address and a short-lived session cookie that keeps you signed in (currently up to seven days). We do not require a legal name or email to use the core marketplace.

You are responsible for all activity that occurs through wallets you connect. If you believe your wallet has been compromised, disconnect it and secure your keys immediately.


5. Fees

Fees are disclosed in the interface at the time you list, offer, mint, or confirm a trade. Current fee categories include:

5.1 Secondary marketplace

  • NFTm platform fee: 1% of the sale price on secondary sales facilitated through NFTm, paid from sale proceeds according to the transaction you sign.
  • Creator royalties: If encoded in the NFT or collection, royalties may be paid to creators on secondary sales as part of the on-chain transaction. Royalty enforcement depends on the token standard, programs, and how the sale is routed; NFTm does not guarantee that royalties are paid on sales that occur outside NFTm.
  • Collection fee: A collection owner may set an optional additional fee (up to the limit shown in the product) on secondary sales through that collection's store.
  • Offer fee: Placing an offer may require a small, non-refundable SOL fee as shown in the interface.

5.2 Launchpad (primary mints)

  • Mint price: Set by the collection owner at launch. Mint payments go to the creator wallet on-chain.
  • Platform launch fee: NFTm may introduce a separate platform launch fee in a future release. If enabled, it will be disclosed before you mint or launch.

5.3 Network costs

You pay network fees (e.g., Solana transaction fees, sometimes called gas) to validators. These are separate from NFTm fees.

All fees, prices, and economics are final on-chain once you sign and the transaction confirms.


6. Secondary marketplace

When you list, buy, sell, or make an offer through NFTm:

  • You represent that you have the right to sell or transfer the NFT and that the listing information you provide is accurate to the best of your knowledge.
  • Sales are generally final; blockchain transfers are irreversible.
  • NFTm does not guarantee that any listing, offer, or sale will complete, or that any buyer or seller will perform off-chain obligations.
  • External marketplace listings may be shown for discovery; trades on other venues are governed by those venues' terms, not these Terms.

7. Launchpad and primary sales

When you mint from a collection launched on NFTm:

  • You are buying directly from the collection owner (creator), not from NFTm. NFTm facilitates the mint interface only.
  • NFTm does not verify, audit, endorse, or guarantee any launched collection. Stores may show provenance (launch date and creator wallet) for transparency; that is not a warranty of quality, legitimacy, or future performance.
  • Collection owners are solely responsible for their art, metadata, roadmap, utility claims, and delivery of any promised benefits.
  • Mints may sell out, fail, or be unavailable due to chain conditions, guard rules, or owner configuration.
  • Primary sales are not covered by the secondary-market sections alone. Collection owners must also accept the Collection Owner Agreement.

Do not mint or buy NFTs as an investment unless you understand and accept the risk of total loss. Digital collectibles are speculative and volatile.


8. Art, metadata, and storage

NFTs point to metadata and media that may be hosted on-chain, on NFTm servers, on IPFS, on Arweave, or elsewhere.

For launchpad collections, NFTm discloses the active storage model in the product. New launches store art and metadata on Arweave and show a verifiable public link on the store. Older collections may still use NFTm-hosted placeholders until migrated. Availability of images and metadata is not guaranteed forever, and Arweave gateway uptime is outside NFTm's control.

You should not assume that NFTm will continue to host metadata indefinitely unless expressly stated in the interface for your collection.


9. Collection stores, comments, and moderation

Collection owners may customize storefronts and enable community features. NFTm pre-moderates comments and may reject, remove, or hide content, and may restrict wallets, without notice, to reduce spam, scams, and abuse.

NFTm is not a free-speech platform. Criticism is generally allowed; illegal content, scams, harassment, and deceptive conduct are not.

Reporting a collection

If you believe a store hosts infringing, stolen, scam, or illegal content, use Report this collection on the store page (wallet session required). NFTm reviews collection reports within 72 hours and may unlist the store, end minting, ban wallets, or take other steps described in these Terms.

This in-product report flow is an operator moderation channel, not a registered DMCA agent filing system or a guarantee of a particular outcome. For other legal notices, contact [legal contact email].


10. NFTm XP and rewards

NFTm may award XP, points, badges, streaks, or similar program features for participation. Unless we expressly state otherwise in writing:

  • XP has no cash value, is not property, and is not a promise of future tokens, airdrops, or rewards;
  • Program rules may change; and
  • We may adjust, claw back, or zero XP for abuse or bans.

11. Intellectual property

11.1 NFTm property

The Services, including software, design, logos, and the NFTm name, are owned by us or our licensors. These Terms do not grant you any right to use our trademarks except as necessary to use the Services.

11.2 User and creator content

Collection owners and users retain rights to content they own, subject to licenses they grant. By making content available through the Services (including collection names, images, descriptions, and comments), you grant NFTm a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and promote that content solely to operate, market, and improve the Services (for example, showing your collection page, thumbnails, and search results).

You represent that you have all rights necessary to grant this license and to mint, list, or sell your NFTs.

11.3 NFT purchase does not transfer brand rights

Unless the collection owner expressly grants additional rights, owning an NFT does not give you ownership of the underlying artwork, trademark, or intellectual property in the collection. Your rights are limited to what the creator provides (often a license in the collection's terms or metadata).


12. Prohibited conduct

You agree not to:

  • Violate any law or infringe others' intellectual property, privacy, or publicity rights;
  • Upload or sell stolen, counterfeit, or misleading NFTs or metadata;
  • Use the Services for fraud, rug pulls, phishing, wash trading, or market manipulation;
  • Circumvent fees, guards, or access controls;
  • Scrape or overload the Services in a way that harms NFTm or other users;
  • Impersonate NFTm, a collection owner, or another person;
  • Use the Services to offer unregistered securities or investment contracts; or
  • Launch or promote collections whose primary purpose is illegal activity.

We may investigate and take action, including removing collections from discovery, disabling stores, or banning wallets.


13. No verification; no endorsement

Listing, launching, or appearing on NFTm does not mean we verify, endorse, recommend, or audit any collection, creator, or NFT.

We do not guarantee authenticity, rarity, utility, future value, or that creators will deliver roadmaps or benefits. You are responsible for your own research before minting, buying, or selling.


14. Privacy

Our privacy practices are described on the About page (Disclosures section). In summary:

  • We do not run advertising or cross-site tracking;
  • We use a session cookie to keep you signed in after wallet connection;
  • We identify you primarily by wallet address; and
  • We do not sell personal information.

If we publish a separate Privacy Policy, it will supplement the Disclosures.


15. Disclaimers

THE SERVICES, ALL CONTENT, AND ALL NFTS ARE PROVIDED AS IS AND AS AVAILABLE, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, NFTm DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
  • ANY NFT, METADATA, OR MEDIA WILL REMAIN AVAILABLE OR UNCHANGED;
  • ANY TRANSACTION WILL SUCCEED OR BE PROFITABLE; OR
  • ANY COLLECTION OR CREATOR IS LEGITIMATE.

Some jurisdictions do not allow certain disclaimers; in those jurisdictions, disclaimers apply to the maximum extent permitted by law.


16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NFTm AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR DIGITAL ASSETS, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) OR (B) THE NFTm PLATFORM FEES YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.


17. Indemnification

You will defend, indemnify, and hold harmless NFTm and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services;
  • Your NFTs, listings, mints, or content;
  • Your violation of these Terms or applicable law; or
  • Any dispute between you and another user (including buyers, sellers, or collection owners).

18. Dispute resolution

Informal resolution. Before filing a claim, you agree to contact us at [legal contact email] and try in good faith to resolve the dispute for at least 60 days.

Governing law. These Terms are governed by the laws of [Governing jurisdiction — to be set by operator], without regard to conflict-of-law rules.

Forum. Except where prohibited by law, the courts located in [Forum location — to be set by operator] will have exclusive jurisdiction over disputes that are not subject to arbitration (if arbitration is adopted after counsel review).

Class action waiver. To the extent permitted by law, disputes must be brought only in your individual capacity, not as a plaintiff or class member in any class or representative proceeding.

19. Changes to these Terms

We may modify these Terms at any time. If we make material changes, we will post the updated Terms and update the effective date. Your continued use of the Services after changes become effective constitutes acceptance. If you do not agree, stop using the Services.


20. Miscellaneous

  • Entire agreement. These Terms, together with the Collection Owner Agreement (if you are a collection owner) and any additional policies we reference, are the entire agreement between you and NFTm regarding the Services.
  • Severability. If any provision is unenforceable, the remainder remains in effect.
  • No waiver. Failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
