This Collection Owner Agreement (the Agreement) is between [Operator legal name] (NFTm, we, us, or our) and you, the wallet holder who claims or launches a collection on NFTm (Collection Owner, you, or your).
By launching a collection through the NFTm launchpad, claiming or operating a collection store, setting collection fees, or checking any acceptance box presented for this Agreement, you agree to this Agreement and the NFTm Terms of Service (the Terms). If there is a conflict, this Agreement controls for collection ownership and launchpad activities.
1. Scope
This Agreement applies when you:
- Use the launchpad to create and mint a new collection;
- Are designated as the owner wallet for a collection store on NFTm;
- Configure storefront branding, About pages, collection fees, or related settings; or
- Receive primary mint proceeds from a collection you launched on NFTm.
This Agreement does not replace terms between you and your collectors. You should publish your own collector-facing terms or license for your art and any utility you offer.
2. What NFTm provides
NFTm provides tools to:
- Deploy and configure a guarded Candy Machine (or successor launch stack) on Solana;
- Host or reference collection metadata and storefront pages;
- Display mint status, pricing, and provenance (launch date and creator wallet);
- Facilitate secondary sales through NFTm's marketplace after mint; and
- Offer community features (comments, favorites, analytics) as available.
NFTm does not:
- Take custody of your NFT inventory or mint proceeds;
- Guarantee sales, sell-outs, or discovery placement;
- Verify, endorse, audit, or insure your project; or
- Act as your agent, manager, or fiduciary.
3. Your representations and warranties
You represent and warrant that:
- Authority. You have full legal right and authority to launch the collection, use the artwork and metadata, and enter this Agreement (as founder, authorized representative, or licensor).
- Originality and rights. Your Collection Content (art, names, logos, music, video, metadata, descriptions, and promotional materials) does not infringe any third party's intellectual property, privacy, publicity, or other rights. You have cleared all necessary licenses (including music performance rights if applicable).
- No illegal offerings. The collection is not primarily a securities offering, unregistered investment contract, or illegal gambling product. You will not use NFTm to launder money or defraud buyers.
- Honest disclosures. Mint price, supply, per-wallet limits, royalty settings, storage model, and any utility or roadmap claims you publish are accurate and not misleading.
- Compliance. You will comply with applicable laws (including consumer protection, tax, and marketing laws) in jurisdictions where you target buyers.
If any representation becomes untrue, you must correct public disclosures promptly and notify NFTm at [legal contact email] if the issue affects buyer safety.
4. Primary sales (launchpad)
4.1 Mint proceeds
Mint payments are paid on-chain to the creator wallet you designate at launch (your connected wallet unless you configure otherwise in the product). NFTm does not custody mint proceeds.
You are solely responsible for:
- Setting mint price and supply;
- Configuring guards (limits, allowlists, etc.);
- Paying taxes on mint revenue; and
- Honoring any benefits, access, or utility you promise to minters.
4.2 Platform launch fees
NFTm may charge a platform launch fee in a future release. If enabled, the fee will be disclosed in the launch flow before you deploy or before minters pay. Current v1 mints do not route mint price to NFTM_LAUNCH_FEE_WALLET unless separately announced.
4.3 No verification badge
NFTm will show provenance (for example: "Launched on NFTm," date, creator wallet, and not verified by NFTm). You may not alter the interface to imply NFTm verification, partnership, or endorsement without our written consent.
4.4 Primary-sale legal coverage
You acknowledge that primary sales are a different activity from secondary marketplace trading. The Terms alone may not cover all obligations you owe to minters. You are responsible for collector-facing terms, refunds policy (if any), and regulatory questions for your drop.
5. Secondary sales and fees
After mint, collectors may list NFTs on NFTm subject to the Terms.
- NFTm platform fee: currently 1% of secondary sale price, as disclosed in the product.
- Creator royalties: as encoded on-chain or in collection settings, subject to program enforcement.
- Collection fee: you may set an optional collection fee (within product limits) on secondary sales through your store. You are responsible for how you use that revenue.
Fee settings visible to sellers at listing time control what buyers and sellers sign on-chain. NFTm does not guarantee royalty payment on sales outside NFTm.
6. Art, metadata, and storage
You are responsible for the quality, legality, and accuracy of all Collection Content.
NFTm's launchpad uploads collection art and item metadata to Arweave (via Irys) before mint for new launches. The store discloses permanent storage and links to a public arweave.net metadata URL so buyers can verify. Older launches that still use NFTm-hosted placeholders disclose that interim model honestly. You must not misrepresent where art is stored.
You grant NFTm the license described in the Terms to host, display, and promote Collection Content to operate your store and the Services.
If you migrate metadata or media, you are responsible for ensuring links remain valid or updating on-chain metadata where applicable.
7. Store conduct
You agree that your store and collection will not:
- Promote scams, phishing, counterfeit goods, or stolen art;
- Impersonate other projects, brands, or NFTm itself;
- Use misleading rarity, supply, or utility claims; or
- Harass users or facilitate illegal activity.
NFTm may remove collections from discovery, disable minting, hide stores, or ban wallets at our discretion to protect users, including without prior notice in urgent cases.
Buyers and other users may report a collection from the store page. NFTm reviews collection reports within 72 hours and may unlist your store, end minting, or ban wallets. The report channel is operator moderation, not a formal DMCA agent process. Contact [legal contact email] for other legal notices.
8. Moderation and community features
If you enable comments or social features, you understand that NFTm pre-moderates content and may reject or remove comments, and may ban wallets, under the Terms and Community Guidelines on the About page.
You remain responsible for your community's conduct to the extent required by law; NFTm does not assume duty to police all user behavior.
9. Indemnification
You will defend, indemnify, and hold harmless NFTm and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your collection, mint, or Collection Content;
- Your promises to collectors (utility, roadmap, refunds, airdrops);
- Your breach of this Agreement or the Terms;
- Intellectual property disputes involving your collection; or
- Regulatory or consumer claims by your minters or collectors.
This section survives termination of your store or collection listing.
10. Disclaimers and limitation of liability
NO GUARANTEE OF SUCCESS. NFTm provides tools, not outcomes. We disclaim all warranties regarding launch results, volume, or long-term metadata hosting except as expressly stated in the product at the time of your launch.
LIMITATION OF LIABILITY provisions in the Terms apply to you and to NFTm. To the maximum extent permitted by law, NFTm's total liability arising from your use of owner or launchpad tools is subject to the same cap set in the Terms.
11. Term and termination
This Agreement begins when you accept it and continues while you operate a collection on NFTm.
You may stop using owner tools at any time. NFTm may suspend or terminate your store, launchpad access, or discovery placement if you breach this Agreement, the Terms, or if we discontinue features.
Termination does not affect on-chain assets or past transactions. Sections that by nature should survive (indemnity, disclaimers, limitation of liability, dispute resolution) survive termination.
12. Changes
We may update this Agreement. Material changes will be posted with a new effective date. Continued use of owner or launchpad features after changes constitutes acceptance. For active mints, we may require re-acceptance before additional launches.
13. Relationship of the parties
You and NFTm are independent parties. This Agreement does not create a partnership, joint venture, agency, or employment relationship. You have no authority to bind NFTm.
